Terms and Conditions

These Client Terms & Conditions ("Terms") govern the services provided by Flowstate Leads ("Flowstate Leads," "we," "us," or "our") to the client ("Client," "you," or "your"). These Terms are separate from and in addition to Flowstate Leads’ Website Terms & Conditions.

By purchasing, accessing, or using Flowstate Leads’ services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Scope of Services

Flowstate Leads provides digital marketing and advisory services focused on lead generation through Meta advertising platforms, which may include:

  • Launching and setting up Meta advertising campaigns on behalf of the Client

  • Advising on ad strategy, targeting, and campaign structure

  • Providing guidance on what content to film for ads

  • Providing suggested ad scripts, hooks, and messaging

  • Teaching and educating the Client on how to manage, understand, or replicate ad campaigns

  • Assisting with lead delivery methods (e.g., notifications, spreadsheets, integrations)

Flowstate Leads does not guarantee any specific number of leads, bookings, revenue, or business outcomes.

2. Client Responsibilities

The Client acknowledges and agrees that:

  • The Client is solely responsible for their business operations, sales process, customer follow-up, and lead conversion

  • The Client is responsible for filming, producing, and supplying all ad creative unless otherwise agreed in writing

  • The Client is responsible for ensuring all ad content complies with Meta’s advertising policies and all applicable laws

  • The Client is responsible for maintaining access to required platforms (e.g., Meta Ads account, Facebook Business Manager)

  • The Client must provide accurate information, timely approvals, and necessary assets to allow Flowstate Leads to perform services

Failure to meet these responsibilities may impact campaign performance and does not constitute a failure by Flowstate Leads.

3. Advertising Spend

  • All advertising spend is paid directly by the Client to Meta or other advertising platforms

  • Flowstate Leads does not collect, manage, or control ad spend unless explicitly agreed in writing

  • Advertising costs are separate from Flowstate Leads’ service fees

  • The Client assumes all risk associated with advertising spend

Flowstate Leads is not responsible for budget overruns, platform billing errors, or changes in advertising costs imposed by Meta.

4. Fees & Payment

Subscription-Style Billing Structure

Flowstate Leads operates on a subscription-style service model following the initial setup period.

Initial Setup & Education Fee

  • The Client agrees to pay a one-time, non-refundable initial fee covering campaign setup, launch, and educational services

  • This fee includes strategic guidance, ad account setup support, scripting guidance, and training

  • This fee is due prior to the start of services

  • No refunds will be issued for the initial setup and education fee once services have commenced

Ongoing Monthly Services

  • After the initial 30-day period, services convert to an ongoing subscription

  • The subscription is billed monthly at a rate equivalent to $5 per day

  • Billing occurs at the start of each calendar month

  • The subscription covers ongoing advisory access, campaign oversight, and continued system availability

​

Cancellation & Prorated Refunds

  • The Client may cancel the subscription at any time

  • If cancellation occurs mid-month, a prorated refund will be issued for unused days remaining in that month

  • No refunds will be issued for time already elapsed or services already rendered

  • Failure to maintain active payment may result in suspension or termination of services.

5. No Guarantee of Results

The Client understands and agrees that:

  • Digital advertising performance varies based on market conditions, competition, creative quality, budget, and numerous external factors

  • FlowState Leads makes no guarantees regarding lead volume, cost per lead, bookings, revenue, or return on investment

  • Advertising platforms control delivery, pricing, and performance dynamics

  • Past results are not indicative of future results

  • All services are provided on an advisory, execution, and educational basis only.

6. Educational & Advisory Nature of Services

FlowState Leads provides education, guidance, and strategic advice. The Client retains full decision-making authority over:

  • Ad creative approval

  • Budget allocation

  • Campaign activation or deactivation

  • Business and sales decisions

Flowstate Leads is not acting as a business partner, agent, or fiduciary of the Client.

7. Intellectual Property

  • FlowState Leads retains ownership of all proprietary frameworks, strategies, templates, scripts, and training materials

  • The Client is granted a non-transferable, non-exclusive license to use provided materials solely for their own business

  • Client may not resell, redistribute, or share FlowState Leads materials without written consent

8. Compliance & Platform Policies

The Client is solely responsible for:

  • Ensuring their business, offers, and advertisements comply with all applicable laws and regulations

  • Ensuring compliance with Meta’s advertising policies and terms of service

Flowstate Leads is not liable for ad rejections, account restrictions, or bans imposed by advertising platforms.

9. Limitation of Liability

To the maximum extent permitted by law:

  • FlowState Leads shall not be liable for any indirect, incidental, consequential, or special damages

  • FlowState Leads’ total liability shall not exceed the amount paid by the Client to FlowState Leads for services in the preceding 30 days

​

10. Indemnification

The Client agrees to indemnify and hold harmless FlowState Leads from any claims, damages, losses, or expenses arising from:

  • The Client’s business practices, products, or services

  • Advertising content provided or approved by the Client

  • Violations of laws, regulations, or platform policies

​

11. Termination

  • Either party may terminate services at any time with written notice

  • Upon termination, the Client remains responsible for all fees incurred up to the termination date

  • If termination occurs mid-month, any eligible prorated refund will be issued for unused days

  • FlowState Leads is not responsible for campaign performance, lead delivery, or results following termination

12. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of services, except as required by law.

​

13. Independent Contractor

FlowState Leads operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which FlowState Leads is registered, without regard to conflict of law principles.

15. Service Pauses & Modifications

Service Pauses

  • Clients may request to pause services for up to six (6) consecutive weeks.

  • During a pause, active services, monitoring, and advisory support may be suspended

  • Billing will be paused during an approved service pause

  • Pauses exceeding six (6) weeks may require a $50 reactivation fee prior to services resuming

  • After a pause exceeding six (6) weeks, services may be considered terminated unless otherwise agreed in writing

 

Modifications

FlowState Leads reserves the right to update or modify these Terms. Clients will be notified of material changes.

16. Entire Agreement

These Terms constitute the entire agreement between FlowState Leads and the Client regarding the services described and supersede any prior discussions or agreements.
